1. Agreement to Terms
By accessing or using the services provided by DynXsoft Pte Ltd ("DynXsoft," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Description of Services
DynXsoft provides enterprise technology solutions including:
- Cloud Engineering and Migration Services
- AI and Large Language Model (LLM) Solutions
- Data Science and Analytics
- MLOps (Machine Learning Operations)
- Blockchain Solutions
- DevOps and Infrastructure Services
3. Eligibility
Our services are intended for businesses and organizations. By using our services, you represent that you are authorized to enter into this agreement on behalf of your organization and that you are at least 18 years of age.
4. Service Agreements
Specific services will be governed by separate service agreements, statements of work, or contracts that will detail the scope, deliverables, timelines, and pricing. These Terms serve as a general framework for our relationship.
5. Intellectual Property
Our Intellectual Property
All content, features, and functionality on our website and in our services, including but not limited to text, graphics, logos, and software, are owned by DynXsoft and are protected by international copyright, trademark, and other intellectual property laws.
Client Intellectual Property
Clients retain ownership of their data and intellectual property. We may use client data only as necessary to provide services, unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives termination of the service agreement.
7. Payment Terms
Payment terms will be specified in individual service agreements. Generally:
- Invoices are due within 30 days of receipt unless otherwise specified
- Late payments may incur interest charges
- We reserve the right to suspend services for non-payment
- All fees are exclusive of taxes unless stated otherwise
8. Warranties and Disclaimers
Limited Warranty
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNXSOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
10. Indemnification
You agree to indemnify and hold harmless DynXsoft from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.
11. Termination
Either party may terminate a service agreement as specified in that agreement. Upon termination, you must cease using our services and we will return or destroy your confidential information as requested.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
13. Dispute Resolution
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If unsuccessful, disputes may be resolved through mediation or arbitration as agreed by both parties.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify clients of any material changes. Continued use of our services after changes constitutes acceptance of the modified Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms remain in full force and effect.
16. Entire Agreement
These Terms, together with any service agreements and policies referenced herein, constitute the entire agreement between you and DynXsoft regarding our services.
